How to Register A Company In PNG- 10 Steps

Registering a company in Papua New Guinea is a very important step if you want to start a proper business.

The process is not too hard. You start by choosing a good and unique name for your company. Then you prepare the right papers and get the necessary licenses and permits.

The Investment Promotion Authority (IPA) is the main office that registers companies. The Internal Revenue Commission (IRC) looks after all tax matters.

  • If you follow the steps — like reserving the name, preparing your documents, and registering with the IPA — your company will be legally recognised and you will not have problems with the law.

Step 1: Choose a Company Name.
  • Select a unique and appropriate name for your company.
  • Check the availability of the name with the Investment Promotion Authority (IPA) online registry system.

Step 2: Reserve the Company Name

  • Submit a Name Reservation Application through the IPA website.
  • Pay the required fee to reserve the name (valid for 30 days).

Step 3: Decide on the Company Structure

  • Choose the type of company (e.g., private limited company, public company, etc.).
  • Identify the shareholders, directors, and secretary.
Step 4: Prepare Required Documentation

Prepare the following:
  • Company Constitution (if applicable) or adopt the standard constitution.
  • Details of directors, shareholders, and secretary (names, addresses, etc.).
  • Share capital structure.
Step 5: Register Online with IPA

  • Create an account on the IPA Online Registry System.
  • Complete the company registration application form online.
Step 6: Pay the Registration Fee

  • Pay the applicable registration fee through the IPA online porta (⚠️NO CASH)
  • Ensure all fees are paid to avoid delays in processing.
Step 7: Receive the Certificate of Incorporation.

  • Once approved, the IPA will issue a Certificate of Incorporation.
  • This document confirms that your company is legally registered.
Step 8: Register for Tax Identification Number (TIN) with IRC.

  • Visit the Internal Revenue Commission (IRC) to apply for a TIN.
  • The TIN is required for all business activities and tax purposes.
Step 9: Open a Company Bank Account

  • Open a corporate bank account in the company’s name.
  • Provide the Certificate of Incorporation, TIN, and other required documents such as profile.

Step 10: Obtain Relevant Licenses and Permits

  • Depending on your business activities, apply for additional licenses or permits from relevant government departments.
  • Comply with industry-specific regulations and requirements.
These steps ensures your company is legally established and ready to operate in Papua New Guinea.
